These Terms of Service ("Terms") govern your use of the services, websites, and applications provided by Yipy ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

If you have a separate written agreement with Yipy (such as a Master Services Agreement or Enterprise Subscription Agreement), that agreement will control to the extent it conflicts with these Terms.

1. Use of the Services

You may use the Services only in accordance with these Terms and all applicable laws. You are responsible for maintaining the confidentiality of your account credentials and for any activity under your account.

The Services are intended for use by individuals 18 years of age and older. We do not knowingly allow individuals under 18 to create accounts or use the Services.

2. Customer Content

You retain ownership of all data, content, and materials that you or your organization submit to the Services ("Customer Content"). You grant Yipy a limited license to store, process, and display Customer Content only as necessary to operate and improve the Services.

You represent that you have all necessary rights to provide Customer Content and that its use will not violate any laws or third-party rights.

3. Our Intellectual Property

Yipy owns all rights, title, and interest in and to the Services, including software, interfaces, designs, and documentation. Except for the rights expressly granted to you, Yipy retains all intellectual property rights.

3.1 Use of Yipy Materials

The Services include proprietary content developed by Yipy, including but not limited to standards libraries, workflows, templates, operational guidance, interface designs, training and educational materials, and organizational structures (“Yipy Materials”). Yipy Materials are protected by copyright and other intellectual property laws. Except where expressly permitted by Yipy in writing, you may not download, copy, export, distribute, share, sell, sublicense, or otherwise use Yipy Materials outside of the Services. Except as expressly permitted by Yipy in writing, you may not download, copy, export, disclose, reproduce, distribute, sublicense, or otherwise make Yipy Materials available to any third party. Except for the limited right to access and use the Services during your active subscription, no license or rights are granted to Yipy Materials.

You may not use Yipy Materials to create competing products or derivative works, train machine learning models, or make Yipy Materials available to any third party who does not have a valid subscription or authorization to use the Services.

3.2 Restrictions on Use by Competitors

Competitors of Yipy, and any personnel acting on their behalf, may not access or use the Services or Yipy Materials for competitive analysis, benchmarking, research, or development of competing products or services. You may not provide Yipy Materials or access to the Services to any competitor of Yipy.

4. Privacy and Cookies

Your use of the Services is also subject to our Privacy Policy and Cookie Policy.

The Privacy Policy explains how we collect, use, and protect personal information. The Cookie Policy explains how we use cookies and similar technologies and describes your choices.

5. Service Availability

We strive to provide reliable and uninterrupted service, but we do not guarantee that the Services will be available at all times. We may periodically perform maintenance or updates that temporarily affect availability.

If you have an enterprise agreement with a service level commitment ("SLA"), that SLA will apply as set forth in your contract.

6. Fees and Payments

If you purchase a subscription to Yipy, you agree to pay all applicable fees. For self-service customers, fees and billing terms are shown at the time of purchase. Fees are non-refundable unless required by law.

Enterprise customers follow the pricing and payment terms set out in their written agreements.

7. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if your organization requests account removal.

Upon termination, we may delete or deactivate your account and Customer Content after a reasonable period, unless otherwise required by law or a separate agreement.

Upon termination or expiration of your subscription, you must immediately discontinue all use of the Services and any Yipy Materials. You may not retain, reproduce, or continue to use Yipy Materials after termination, and you agree to delete any copies in your possession unless otherwise required by law.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Yipy disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Yipy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

Our total liability for all claims relating to the Services will not exceed the amount you paid to us in the 12 months preceding the claim, unless a different limit is set in a separate written agreement.

10. Indemnification

You agree to indemnify and hold Yipy harmless from any claims arising out of your misuse of the Services or violation of these Terms.

Enterprise indemnification terms, if any, are set in individual customer agreements and override this section.

11. Modifications

We may update these Terms from time to time. When we make changes, we will post the updated Terms on this page with a revised "Last updated" date. Your continued use of the Services after the changes become effective means you accept the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delware, USA. Any disputes will be resolved in the courts located there, unless otherwise required by a separate written agreement.
